D’ANTONI SUCCEEDS POTTS AS APAC PRESIDENT

| David J. D’Antoni has been named to succeed Charles F. Potts as president of APAC, Inc., according to James J. O’Brien, chairman and chief executive officer of Ashland Inc., APAC’s parent company. Potts announced today that he has decided to leave the company.

In his role as group operating officer and senior vice president of Ashland, D’Antoni has had responsibility for APAC and Valvoline since November 2001. As APAC president, he retains oversight responsibility for Valvoline. “As group operating officer, Dave has worked closely with the APAC management team for nearly two years and is the natural choice to succeed Charlie,” O’Brien said. “Dave has many years of executive and operating experience and excels in leading multifaceted organizations, having managed our chemical operations for more than a decade. We expect a very smooth transition.” D’Antoni joined Ashland in 1973 as a project development manager for the former Ashland Chemical Company. He progressed through a series of increasingly responsible assignments before being named president of Ashland Chemical and senior vice president of Ashland in 1988. D’Antoni was appointed to Ashland’s executive committee in 1996 and became group operating officer for responsible for Ashland Distribution Company and Ashland Specialty Chemical Company, in 1999. He assumed responsibility for APAC and Valvoline in November 2001. D’Antoni is a native of Huntington, W.Va., and a graduate of Virginia Polytechnic Institute, with a bachelor’s degree in chemical engineering. He is also a graduate of Harvard Business School’s Advanced Management Program. O’Brien said Potts has been instrumental in more than doubling APAC’s assets since taking the helm as president in 1992. “In the past two years, he has focused his attention on restructuring APAC’s operations and business processes. Ashland’s management team and the entire APAC organization will miss him,” the CEO concluded. Potts joined Ashland in 1985 after a 16-year career with the Florida Department of Transportation. He advanced through a variety of managerial assignments and was elected president of APAC and senior vice president of Ashland in 1992. A native of Winston-Salem, N.C., Potts received a bachelor’s degree in civil engineering from The Citadel in 1966 and earned a master’s degree in civil engineering from West Virginia University in 1967. He and his wife reside in Atlanta.
