APAC CONSOLIDATES TWO CAROLINA DIVISIONS

| APAC, Inc., the nation’s largest highway construction company, announced today that it is consolidating its Barrus Division, located in Kinston, N. C., and its South Carolina Division, based in Darlington, S. C., into the new Coastal Carolina Division of APAC-Carolina, Inc., which will be based in Kinston. |
The announcement was made by Charles F. Potts, president of APAC, Inc., and senior vice president of Ashland Inc. APAC is a wholly owned division of Ashland Inc. Thomas E. “Eddie” Briley has been named president of the new division, and W. Marshall Roberts will be the controller. Thomas E. Elmore was named vice president of marketing. He will have responsibility for sales and marketing growth across the entire division. “The APAC organization has undergone tremendous change in the past several months as we work to become a more competitive company,” Potts said. “We continue to examine ways to streamline our operations and our processes to make us even more efficient.” A previously announced restructuring in October 2002 reduced the number of operating units at APAC from 39 to 25. With this most recent consolidation, APAC has 24 divisions operating in 14 states throughout the Southeast and Midwest. “This additional consolidation will allow us to be more customer- and market-focused, as we strive to provide the fastest, most cost-effective, high-quality service in the highway construction industry,” Potts continued. “It also will help us toward our financial goal of a 10 percent after tax return on investment by fiscal 2004.”
